ソフトバンクは何故べらぼうな値段でARMホールディングスを買収するのか?

英国のEU離脱をめぐる国民投票でポンドが安くなっているので、今は千載一遇のチャンスというわけです。

BBC、ニューヨーク・タイムズなどの報ずるところによれば、ソフトバンクが英国のケンブリッジに本社を置く半導体知的所有権会社、アーム・ホールディングス(ティッカーシンボル:ARMH)を240億ポンド(3.35兆円)で買収する交渉中だそうです。これは先週末の同社株の引け値より42.9%のプレミアムです。

アーム・ホールディングスはマイクロプロセッサーやグラフィックス・チップの設計に関する半導体知的所有権(SIP)を保有する企業です。

同社は、言うなれば「デザイン特許」のようなノウハウを売る会社なので、納品すべき品物(deliverables)がありません。このため、ほぼ「売上高=粗利」になります。グロスマージンは95.9%です。同社の営業費用のうち65%が研究開発費です。つまり同社は「R&Dのかたまり」みたいな会社なのです。ちなみに営業マージンは42%です。

同社の回路設計の基本デザインはアーム・コアと呼ばれ、スマートフォン、デジタルTV、自動車などに組み込まれています。

アーム・コアの特徴は消費電力が少ない点です。

とりわけ同社の「バージョン8アーキテクチャー」はいま世界で出荷されている最新鋭のスマホの60%に採用されています。

また同社はネットワーク・インフラストラクチャを構成する機器の15%に食い込んでいます。

さらに自動車やIoTなどに埋め込まれた、センサーに連動するプロセッサーにおけるシェアは25%となっています。

売上高の55%はロイヤリティー収入、つまり半導体デザイン会社がアームに対して払う「使用権」収入です。そして36%はライセンシング収入です。

同社は無借金経営であり、バランスシート上には9.5億ポンドのキャッシュが載っています。

さて、ソフトバンクと言えば米国のスプリントの買収が思い出されます。しかしスプリントは業界第3位の、しかも長年、放漫経営されてきた「ポンコツ会社」の買収でした。言い換えれば、バリュー投資的な切り口だったということです。

それとは対照的にアーム・ホールディングスは世界の半導体関連企業の中でも最もピカピカの会社であり、もちろん英国のハイテク企業の中では最も尊敬されている存在です。

したがって、今回噂されているような42.9%のプレミアムを支払うのは当然だと思います。

アーム・ホールディングスは「バージョン8アーキテクチャー」の発表以来、新規案件の獲得が加速しているように見えます。つまり今買わないと、2~3年後には、もう手が届かなくなる可能性が高いということです。

しかも英国のEU離脱をめぐる国民投票でポンドが安くなっているので、今は千載一遇のチャンスというわけです。

またスプリントが、ボロ会社を立て直さなければいけない、たいへん手間のかかる案件であったのに対し、アーム・ホールディングスの場合、すでにマーケット・リーダー企業であり、しかもノウハウを売る会社なので、手直しや経営の軌道修正は、一切必要ありません。

Market Hackとしては、この買収には大賛成です。
